Terms and Conditions
Effective Date: September 1, 2024
1. Acceptance: The proposal outlined in this document and any writings incorporated by reference (collectively, the "Agreement") may be accepted through a definite and timely expression of acceptance. Acceptance is strictly limited to the terms and conditions of this Agreement; any additional or differing terms in an acceptance shall not become part of the contract formed.
2. Payment and Terms: Sales Price: The sales price is as stated in the proposal. Payment: Payment is due upon receipt of invoice. Accounts past due will incur a late fee of 1.5% per month or the maximum amount permitted by Indiana law, whichever is lower. Buyer will also be responsible for all collection costs, including reasonable attorney fees, incurred by Seller to recover any outstanding balance.
3. Right to Cancel: You have the right to cancel this Agreement within three business days after signing. To cancel, mail written notice to Seller before midnight of the third business day. You may use the cancellation page included in this document by writing "I hereby cancel," and providing your name and address. A duplicate of this page is provided for your records.
4. Force Majeure Seller: will not be liable for failure to perform any obligations under this Agreement if such failure is due to causes beyond Seller’s control, including but not limited to war, labor shortages, material shortages, fire, flood, or other acts of God. Time is not of the essence for Seller’s performance under this Agreement.
5. Standard of Care; Warranty: Standard of Care: Seller will perform services with the care and skill typically used by professionals under similar conditions. Seller is not liable for errors of judgment or mistakes of law or for any loss, except those resulting from willful misconduct, bad faith, or gross negligence. No Warranty: Seller’s estimate or inspection report is based on visual inspection only and does not constitute a safety certificate. Seller makes no warranty regarding the safety or functionality of any appliance, chimney, or vent. Any implied warranties, including those of merchantability or fitness for a particular purpose, are hereby disclaimed.
6. Limitation of Liability: Seller’s total liability for any claims, losses, costs, or damages arising out of or related to the services provided shall not exceed the fees actually paid by Buyer. Seller will not be liable for any special, incidental, indirect, or consequential damages.
7. Acceptance of Work: Product Buyer must inspect all completed work. If Buyer does not provide Seller with written notice of rejection detailing the basis for rejection within two (2) days after completion, the work will be deemed accepted. If work is rejected, Seller will have a reasonable time to repair or replace the work, with the acceptance provisions applying again.
8. Governing Law; Jurisdiction: This Agreement is governed by and construed in accordance with the laws of the State of Indiana, excluding Indiana’s conflict of laws provisions. Any disputes related to this Agreement must be brought in the courts located in White County, Indiana. The parties consent to the jurisdiction of these courts.
9. Entire Agreement: This Agreement constitutes the entire agreement between the parties regarding the subject matter and supersedes all prior agreements or understandings. No promises, agreements, or representations other than those set forth in this Agreement have been made.
10. Binding Effect: This Agreement binds and benefits the parties and their respective heirs, successors, personal representatives, beneficiaries, and assigns.
